These Terms of Service ("Terms") govern your use of the www.Velectronix.com website and the services provided through it. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our website.

 

1. Service Description:

Velectronix.com provides ECU cloning, programming, repair, modification, diagnostic, and related electronic module services as described on our website. Services are offered for personal or business use and are subject to these Terms.

 

2. Eligibility:

By using our website and services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing our website on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

 

3. Account Creation:

Some features or services on our website may require you to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

 

4. Payment and Billing:

Payment for our services is required as specified on our website. You agree to provide accurate and valid payment information. All fees are non-refundable unless explicitly stated otherwise in writing.

 

5. Repair & Service Terms (Bench / Evaluation Fee)

 

All modules and hardware sent to Velectronix for cloning, repair, programming, modification, testing, or related services are subject to a non-refundable bench/evaluation fee of $150 per module. This fee covers labor and time associated with inspection, disassembly, compatibility verification, data extraction attempts, bench testing, evaluation, and related diagnostic procedures.

 

The bench/evaluation fee applies regardless of whether:

- the full service is completed,

- the customer supplies an incompatible, incorrect, or non-matching donor/replacement module,

- the module has been previously opened, modified, tampered with, repaired, or damaged,

- another repair facility or individual previously attempted service,

- the module is determined to be non-serviceable,

- data cannot be fully recovered,

- or the customer chooses not to proceed after evaluation.

 

Customers are responsible for supplying compatible replacement modules in good physical and electronic condition unless otherwise agreed in writing. Exact part number matching may be required depending on the application.

 

Velectronix cannot guarantee repair or cloning success on modules that have been previously opened, repaired, modified, water damaged, electrically damaged, or otherwise tampered with.

 

Velectronix is not responsible for delays, incompatibility issues, failed prior repair attempts, or additional labor resulting from customer-supplied parts.

 

If incompatibility, prior damage, corruption, or other issues are discovered after work has begun, Velectronix will notify the customer before proceeding further. Any work already performed remains billable under the bench/evaluation fee.

 

At Velectronix’s discretion, the bench/evaluation fee may be credited toward the final service total if the job is successfully completed.

 

6. Intellectual Property:

The content, materials, and services provided on our website, including text, graphics, logos, images, videos, and software, are the intellectual property of Velectronix.com and protected by applicable copyright, trademark, and other intellectual property laws.

 

7. Prohibited Conduct:

You agree not to:

a. Use our website for any illegal or unauthorized purpose.

b. Interfere with or disrupt the functionality of our website or services.

c. Engage in any activity that may compromise the security or integrity of our website or services.

d. Copy, modify, or distribute any content or materials from our website without prior written consent.

e. Use our website to transmit any viruses, malware, or other harmful computer code.

f. Engage in any fraudulent or deceptive activity.

 

8. Limitation of Liability:

Velectronix.com shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of our website or services.

 

9. Indemnification:

You agree to indemnify and hold Velectronix.com, its affiliates, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses arising out of or related to your use of our website or services or any violation of these Terms.

 

10. Termination:

We may, at our sole discretion, suspend or terminate your access to our website and services if we believe you have violated these Terms or for any other reason without prior notice.

 

11. Governing Law and Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts located in Lee County, Florida.

 

12. Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

These Terms constitute the entire agreement between you and Velectronix.com and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
